These documents are published in English and Arabic. The Arabic version prevails in the event of conflict. An institution's Order Form names the version that applies to its subscription. Each clause is set in English, with the governing Arabic text beneath it.

Scope
This Policy applies to every UNIVO LMS+, institutional and employer purchase and forms part of the Institutional Terms of Service (lms-terms). The UNIVO consumer Refund Policy does not apply to any of these purchases.

A pro-rata refund also applies where the law requires it after prolonged force majeure (Terms Section 18).

ويسري الرد بالتناسب أيضًا حيث يوجبه القانون بعد استمرار القوة القاهرة (البند 18 من الشروط).
Non-renewal
Contracts renew automatically for twelve months unless written notice of non-renewal reaches UNIVO at least 90 days before the term ends. Send notice to support@univo.now from an authorised signatory. UNIVO sends a reminder at least 120 days before the term ends. Cancellation for convenience during a term is not available.

عدم التجديد
تتجدد العقود تلقائيًا لمدة اثني عشر شهرًا ما لم يصل إلى UNIVO إخطار كتابي بعدم التجديد قبل 90 يومًا على الأقل من نهاية المدة. ويُرسل الإخطار إلى support@univo.now من مفوض بالتوقيع. وترسل UNIVO تذكيرًا قبل 120 يومًا على الأقل من نهاية المدة. لا يتاح الإلغاء للملاءمة خلال المدة.
Termination for breach
If UNIVO commits a material breach and does not cure it within 30 days after written notice, the institution may terminate and receives a pro-rata refund of prepaid licence fees for the unused remainder of the term, within 30 days. This is the only cash refund case and the sole monetary remedy for that breach, subject to Terms Section 16.3.

الإنهاء بسبب الإخلال
إذا أخلّت UNIVO إخلالًا جوهريًا ولم تعالجه خلال 30 يومًا من إخطار كتابي، جاز للمؤسسة الإنهاء واسترداد رسوم الترخيص المدفوعة مقدمًا عن المدة المتبقية غير المستخدمة بالتناسب، خلال 30 يومًا. وهذه هي الحالة الوحيدة للاسترداد النقدي، والتعويض المالي الوحيد عن ذلك الإخلال، مع مراعاة البند 16.3 من الشروط.
Service credits
If monthly availability of hosted LMS+ falls below 99.5%, excluding scheduled maintenance announced 48 hours in advance, Customer-caused issues, third-party outages and force majeure, the institution may claim:

Credits are capped at 15% of the monthly equivalent fee (annual licence fee divided by twelve) per month, must be claimed in writing within 30 days of the incident, are applied only against the next renewal invoice, have no cash value, and lapse if the contract is not renewed. Service Credits are the sole remedy for availability failures. Pilots and self-hosted deployments carry no credits.

أرصدة الخدمة
إذا انخفضت الإتاحة الشهرية لمنصة LMS+ المستضافة عن 99.5%، باستثناء الصيانة المجدولة المعلن عنها قبل 48 ساعة، والمشكلات التي يتسبب فيها العميل، وانقطاعات الغير، والقوة القاهرة، جاز للمؤسسة المطالبة بما يأتي:
- مقدار النقص عن المستهدف
- أقل من نقطة مئوية واحدة
- الرصيد، نسبة من الرسوم الشهرية المعادلة
- 5%
- مقدار النقص عن المستهدف
- من نقطة واحدة إلى أقل من 3 نقاط مئوية
- الرصيد، نسبة من الرسوم الشهرية المعادلة
- 10%
- مقدار النقص عن المستهدف
- 3 نقاط مئوية أو أكثر

تُحدّ الأرصدة بنسبة 15% من الرسوم الشهرية المعادلة (رسوم الترخيص السنوي مقسومة على اثني عشر) عن كل شهر، ويجب المطالبة بها كتابةً خلال 30 يومًا من الواقعة، ولا تُطبّق إلا على فاتورة التجديد التالية، وليست لها قيمة نقدية، وتسقط إذا لم يُجدَّد العقد. وأرصدة الخدمة هي التعويض الوحيد عن إخفاقات الإتاحة. ولا تستحق أرصدة عن الفترات التجريبية أو التشغيل المستضاف ذاتيًا.
Billing disputes and errors
Invoice disputes must be raised in writing within 15 days of the invoice date, stating the disputed items. Undisputed portions must be paid on time. UNIVO corrects duplicate or erroneous charges, including card charges through noon payments, within 10 business days of confirming the error.

المنازعات والأخطاء في الفوترة
يجب إثارة أي منازعة في فاتورة كتابةً خلال 15 يومًا من تاريخها مع بيان البنود المتنازع عليها، وتُسدَّد الأجزاء غير المتنازع عليها في مواعيدها. وتصحح UNIVO المبالغ المكررة أو الخاطئة، بما فيها مدفوعات البطاقات عبر noon payments، خلال 10 أيام عمل من تأكدها من الخطأ.
Public sector override
Where a signed procurement contract or tender condition for a Public Entity conflicts with this Policy, the signed contract governs on that point only.

أولوية أحكام القطاع العام
